The Practice

How we work in this sector.

Transactions are decided by the quality of the analysis behind them. A seller who cannot substantiate earnings gets re-traded in diligence. A buyer who has not modelled the downside overpays. A board without an independent view approves something it should have questioned.

This practice provides that analysis. We prepare valuations that stand up to scrutiny, build the financial models a deal is actually underwritten against, ready the financial story before a buyer's team arrives, manage the data room and diligence process, and sit alongside management through negotiation.

We work on both sides. Sell-side, the objective is a defensible file and a competitive process. Buy-side, it is knowing what the target is worth and where the risk sits before the LOI is signed. The analytical discipline is the same; what changes is whose interests it serves.

The practice supports every sector the firm covers and takes standalone mandates in any industry where the work is financial and strategic rather than operational.

Capabilities

What we deliver.

01

Valuation

Independent business valuations triangulated across income, market and cost approaches, prepared for boards, shareholders, counter-parties and counsel.

02

Diligence Readiness

Preparing the financial story before a buyer's team arrives — normalisation analysis, add-back support and working capital review, so the first version a buyer sees has already been stress-tested.

03

Financial Modelling

Three-statement models, scenario and sensitivity analysis, and the operating models management uses to run the business after the transaction closes.

04

Sell-Side Process

Positioning, confidential information memorandum, counter-party identification and outreach, and process management through to definitive agreement.

05

Buy-Side Execution

Acquisition search, target evaluation, valuation and structuring for strategic acquirers and platform builders running bolt-on programmes.

06

Diligence Management

Data room build, information request coordination, and management of the diligence process so it does not consume the leadership team.

07

Negotiation Support

Term sheet and definitive agreement support alongside counsel, with the economics of each position modelled before it is conceded.

08

Capital Structure Advisory

Analysis of what the post-transaction capital structure should look like and what is realistically financeable, including preparation of lender and investor materials.

09

Board & Committee Support

Independent analysis and presentation support for boards and special committees evaluating a transaction or a set of strategic alternatives.

A selection of engagement highlights, not an exhaustive list. Client names, project names and property addresses have been removed and regions generalised, consistent with our confidentiality agreements. Unit counts and dollar figures are order-of-magnitude, drawn from underlying models on file.
